Terms & Conditions

1. Order Placement:

• All orders must be submitted in writing via our official order channels, including email, fax, or our online wholesale portal.
• Each order should specify product name, quantity, and any additional relevant details.
• Studio Trame reserves the right to accept or reject any order at its discretion.

2. Pricing and Payment:

• Wholesale prices are subject to change without prior notice.
• Orders will not be processed until payment is received and verified by Studio Trame.

3. Minimum Order Quantity (MOQ):

• All products have a minimum order quantity requirement of 20 units. Customers must adhere to these requirements when placing orders.

4. Shipping and Delivery:

• Studio Trame will arrange for shipping, and shipping costs will be borne by the Customer unless otherwise specified.
• Delivery times are estimated and may vary due to factors beyond our control.
• Risk of loss or damage to products passes to the Customer upon delivery.

5. Returns and Exchanges:

• Returns and exchanges are subject to Studio Trame's separate Return Policy, available upon request.
• Damaged or defective products must be reported within 10 business days of delivery.

6. Product Warranties:

• Studio Trame provides no warranties, express or implied, regarding the products sold, including but not limited to merchantability and fitness for a particular purpose.

7. Intellectual Property:

• All trademarks, logos, and copyrighted material associated with Studio Trame are the property of Studio Trame. Any unauthorized use is prohibited.

8. Confidentiality:

• Both parties agree to treat all non-public information obtained during the course of business as confidential and not disclose it to third parties without written consent.

9. Indemnification:

• The Customer agrees to indemnify and hold harmless Studio Trame from any claims, damages, liabilities, and expenses arising from the Customer's use of the products.

10. Force Majeure:

• Studio Trame will not be held liable for any delay or failure in performance caused by events beyond its control, including but not limited to acts of God, natural disasters, and governmental actions.

11. Governing Law and Disputes:

• This Agreement is governed by the laws of Québec. Any disputes shall be resolved through arbitration in accordance with the rules of the Gouvernement du Québec.

12. Amendment and Termination:

• Studio Trame reserves the right to amend these terms and conditions at any time. Notice of changes will be provided to the Customer.
• Either party may terminate this Agreement for cause upon written notice to the other party.

13. Entire Agreement:

• This Agreement constitutes the entire understanding between Studio Trame and the Customer, superseding any prior agreements or understandings.

By placing an order with Studio Trame, the Customer acknowledges that they have read, understood, and agreed to abide by these Terms and Conditions. These terms are effective as of August 20, 2023.
